Terms and Conditions


Schaefer Systems International, Inc. (“Schaefer” or “us” or “we”) requires all visitors to www.schaefershelving.com (the “Site”), to agree to these terms and conditions (the “Terms & Conditions”). If you do not agree, you should not use this Site. By accessing the Site you indicate your acknowledgment and acceptance of these terms and conditions.

The Site is the official e-commerce website for Schaefer Shelving, a division of Schaefer. The validity, construction and enforcement of the purchase agreement between Schaefer and those accessing or using the Site and/or purchasing products or using any related services (“Buyer” or “you”), shall be governed by and interpreted under the laws of the State of North Carolina, notwithstanding any principles of conflict of laws. In the event of any dispute arising out of this agreement, which includes these Terms & Conditions and the Schaefer Privacy Policy https://www.schaefershelving.com/t-privacy.aspx  (this “Agreement”), Buyer consents to the personal jurisdiction of the federal and/or state courts located in the County of Mecklenburg, State of North Carolina, United States of America.

All orders submitted to the Site are subject to Schaefer’s acceptance. Schaefer’s acceptance of Buyer’s order is conditioned upon Buyer’s assent to the Agreement.  

Condition of Use

Access to the Site is limited to viewing the information provided solely for legitimate business and commercial purposes. Any access or attempt to access other areas of Schaefer’s computer systems, servers, or other electronic information is strictly prohibited. You may not use any information, data or other materials contained on or provided, distributed or accessed through this Site or any related services (collectively, the “Site Materials”) other than in connection with a legitimate business or commercial purpose with Schaefer. Site Materials may be downloaded and printed exclusively for legitimate business and commercial use in connection with your business or transaction with Schaefer.  No Site Materials may be otherwise used, reproduced, retransmitted or distributed, in whole or in part, without Schaefer’s written permission.

Schaefer uses reasonable efforts to include accurate and up-to-date information on the Site, but does not warrant that the Site or any Site Materials or related services are free of errors or omissions, and each of the foregoing is provided “as is” and “as available”, all as more fully described herein. Because of continuing improvements and product development, actual products may differ slightly from their depictions and/or descriptions on the Site and/or in Site Materials. Schaefer will not be liable for any damages to Buyer, whether direct, consequential or incidental, arising from Buyer's use of, or reliance upon the Site or any Site Materials. Without limiting the foregoing, Schaefer will not be liable for any damages to, or viruses that may infect, your computer or related equipment as the result of your access to, use of, or downloading material from, the Site or any Site Materials. 

Payment and Pricing Policy

Terms of payment are within Schaefer’s sole discretion, and unless otherwise agreed to by Schaefer, payment must be received by Schaefer prior to acceptance of an order.  Payment for the products will be made by credit card (i.e., Visa, MasterCard, Amex, and Discover) or some other prearranged payment method through a third party payment vendor specified by Schaefer, unless credit terms have been agreed to by Schaefer.  Schaefer’s third party payment vendor accepts all major credit cards.  For alternative payment methods, call (855) 300 2636. 

Certain Buyers, upon approval by Schaefer, may elect to purchase products through the Site using purchase orders and/or other means of purchase made available by Schaefer from time to time and in its sole discretion. Such purchase (including any purchase of products through the Site made using a purchase order), may be subject to additional terms and conditions as identified by Schaefer to Buyer in connection with such purchase. Any such terms and conditions shall be in addition to the terms and conditions with respect to such Purchase set forth in this Agreement.  In the event of any ambiguity or conflict between such additional terms and conditions and this Agreement, or any other applicable terms or conditions, the term, condition or interpretation thereof most favorable to Schaefer shall control.

Where applicable, invoices provided by Schaefer to Buyer are due and payable within the time period noted on the invoice, measured from the date of the invoice. Schaefer may invoice parts of an order separately. Orders submitted by purchaser order, through the Site or through any other means are not binding upon Schaefer until accepted by Schaefer. Any quotations given by Schaefer will be valid for the period stated on the quotation. 

Prices reflect Buyer's cost in U.S. currency.  Buyers located in certain jurisdictions will be charged sales tax where applicable.  Product prices do not include shipping, applicable federal, state, and local taxes, additional delivery charges, or special crating requirements for export shipment.  Buyer shall pay all such costs, taxes, and charges.  Tax exempt customers call (855) 300 2636 for information, or fax your order to (855) 300 2576 along with the tax-exempt certificate.

Product Prices, availability, and specifications are subject to change without prior notice. Any typographical, photographic, or specification error in product, pricing, or offers is subject to correction. We strive to provide accurate pricing, but despite our best efforts, pricing errors may occur. In the event a product is listed at an incorrect price due to typographical, photographic, technical error, or error in pricing information received from our suppliers, Schaefer reserves the right to refuse or cancel any orders placed for products listed at the incorrect price.  If an item's correct price is lower than our stated price, we will charge the lower amount and ship you the item. If an item's correct price is higher than our stated price, we will cancel your order and notify you of the price error and order cancellation. You will, of course, have an opportunity to purchase the item at the correct price, if you wish to do so.  Additionally, catalog prices may differ from prices provided on the Site or in other Site Materials. In the event of such a price discrepancy, the product prices provided on the Site will prevail, except in the case of an incorrect price listing on the Site as described herein. The Site may from time to time include certain products that are listed as “clearance” or are similarly described, and the pricing applicable to such clearance products may not be combined with any other offers, discounts or promotions. Any confirmation of sale, including Internet, fax, or other confirmation, remains subject to corrections to pricing, product description and/or specification.  

Product Warranties and Remedies

We stand behind our products with a 30-day money back guarantee.  Please refer to the Order Cancellation section for specific terms and conditions.  Schaefer warrants that the products shall be free from defects in workmanship and materials under normal use and service in accordance with the manufacturer’s ratings and specifications for a period of one year from the date of receipt of the product by the Buyer.  Warranties on all other products and components are provided directly by the manufacturer/supplier and will meet minimum requirements established by applicable law.  The warranty for a product sold by Schaefer is included in the documentation accompanying the product as provided by that product’s manufacturer, or can be requested from Schaefer or directly from the product manufacturer.  

Schaefer disclaims all other warranties, express or implied, concerning all products, services, the Site and all Site Materials.  Schaefer specifically disclaims any warranties of merchantability or fitness for a particular purpose.  In no event shall Schaefer accept liability for any damages, including consequential, indirect, or special lost profits, arising out of the use or inability to use any products.  Schaefer’s damages are limited exclusively, where applicable, to product replacement or return of purchase price.

Products manufactured by Schaefer are designed to meet U.S. safety standards and regulations. Because local safety standards and regulations vary, Schaefer cannot guarantee that our products meet all applicable requirements in each locality. Buyer assumes responsibility for compliance with such safety standards and regulations in those localities in which the products will be shipped, sold and used.  MSDS sheets are available for certain products upon request. 

Assembly & Safety Instructions.  Along with your order you will receive assembly and safety instructions for the proper installation of the product(s) you ordered. If you do not receive the safety and assembly instruction with your order, please contact us immediately. DO NOT ATTEMPT TO INSTALL THE PRODUCT without the assembly and safety instructions. The product could be damaged or injuries could occur. Any missing assembly and safety instruction will be provided to you by the most expedient means available, e.g., via email or facsimile.

Schaefer will not be liable for any incidental, indirect or consequential losses, damages, or expenses. Buyer’s exclusive remedy for any type of claim or action for defective products will be limited to the replacement of the products (in the form originally shipped) or, at Schaefer’s option, to a payment or credit not greater than the original purchase price of the products.

Schaefer will not be liable for products claimed to be defective where the defect resulted from causes not within Schaefer’s control, or which arose or occurred after shipment, including but not limited to accidents, misuse, mishandling, improper installation, contamination or adulteration by other materials or goods, or abnormal conditions of temperature, moisture, dirt, or corrosive matter.

Any claim that products sold by Schaefer were defective or otherwise did not conform to the contract of sale is waived unless Buyer submits it in writing to Schaefer within thirty (30) days from the date Buyer discovered or should have discovered the defect or non-conformance. No legal action or proceeding complaining of goods sold by Schaefer may be brought by Buyer more than one year after the date Buyer discovered or should have discovered the defect or problem of which it complains.

Delivery Terms

Shipping Terms.  Unless otherwise requested by Buyer and agreed by Schaefer, Schaefer will ship each product order using the shipping method selected by Buyer through the Site (either prepaid via FedEx, Common Carrier, or Courier or freight collect or third party billing using a carrier designated by Buyer).  Stock items are generally available for shipment or pick-up, as applicable, within 1 to 3 business days of placing the order.  Non-stock items are shipped directly from the supplier, and timing of shipment will be confirmed following placement of the order.  If prepaid shipping is selected, shipping, handling, and packaging charges must be prepaid and will be added to the invoice.  Regardless of the method of shipping, any extra charges for services requested by Buyer, i.e., special routing, inside delivery, or pre-delivery notification (in the case of prepaid shipping) must be paid by Buyer, and will be added to the shipping charges at order confirmation.

Prepaid Shipping -In the event that Buyer selects prepaid shipping:

Inside Delivery - Schaefer can only guarantee delivery to just inside the door of your building. The driver will not deliver up/down a staircase and may not be required to deliver beyond 10 feet of the building door. Please note that inside delivery to a building without a truck-high loading dock also requires liftgate service. 

Liftgate - Liftgate service is required for ground delivery.  Without liftgate service, driver is only required to provide service to back end of trailer.  Please note that 96” wide shelving units cannot utilize liftgate as trucks with liftgate are only 84” wide.  Please call customer service with questions/concerns at (855) 300 2636.

Residential delivery - Residential delivery must be specified for all deliveries to a residence. Residential delivery does not include liftgate service or inside delivery.

Limited Access Delivery - Limited access delivery includes deliveries to churches, schools, military areas, and municipalities. 

Notify before delivery - Prior to a delivery, the Trucking Company will call to coordinate delivery time, which is typically within a four-hour window. 

Freight Charges - The Site provides Buyers with information regarding freight charges applicable to prepaid shipments in the contiguous United States. We will be happy to provide you a freight quote for shipment to areas outside the contiguous United States, including Alaska, Hawaii, Puerto Rico, Guam or any other U.S. territory or possession.  Please call our customer service at (855) 300 2636 for a freight quote.

Freight Collect or Third Party Shipping - In the event that Buyer selects freight collect or third party shipping, Buyer will be responsible for providing all necessary contact and shipping information.

Customer Pick-Up - Buyer can select this option and pick up stock products, where available, in order to reduce shipping charges:

Stock Products - These are available for pick-up at Charlotte, NC.

Non-Stock Products - Certain non-stock products may not be available for pick-up. Additionally, locations which have non-stock products vary according to product manufacturer.

If you select the customer pick-up, freight collect or third party shipping option and additional charges apply due to unavailability of the product at the selected location, we will immediately contact you prior to shipping the product for your approval on the additional shipping charges.

If your order is not entirely available at one location, we will endeavor to contact you to discuss alternative shipping arrangements, including for shipping the remaining product to that location at your expense.

Receipt of goods -  Remember: You are the final inspector. Please confirm that your order is received without damage. Any deviation should be noted upon the carrier's bill of lading for damage and/or shortage.

Damages/Replacements/Return/Cancellation Policy

Damages & Freight Claims:  Remember: You are the final inspector. Each order is carefully packed and inspected before it leaves our facilities, and the responsibility for its safe delivery is assumed by either you or the carrier, as applicable, upon its acceptance of the shipment. Whether Schaefer has contracted with a carrier for delivery to you (in the event you elect prepaid shipping) or provided product for pick-up by your designated carrier (in the event you elect freight collect or third party shipping) or made available to you for pick-up (in the event you elect customer pick-up), Schaefer’s responsibility for safe delivery of the products and merchandise ceases when shipments are received by you or the carrier, as applicable. Therefore, for the protection of all parties it is important that upon receipt of your order you thoroughly inspect your order and confirm that it is received in full and without damage.  Along with the order, you will receive a packing list detailing all the products included in your order. You must check your order against this packing list to confirm that all pieces have been received (note: If the packing list is missing from your order this must also be noted upon the carrier’s delivery receipt).  You should examine the cartons/boxes for any visible signs of damage, such as holes, re-sealed packaging, staining or wetness etc. After you have inspected your order, you may then be required to sign for the shipment to confirm that your order has been delivered complete and in good condition. This discharges the freight company/carrier/ shipper from any responsibility (note: in certain circumstances damage that was not readily visible may be accepted by the carrier as a “concealed damage” claim-see below).    Any deviation in your order must be called to the attention of the carrier as required by the carrier (for example, while the driver is present) and properly noted upon the carrier's delivery receipt for damage and/or shortage. The same must then be reported to Schaefer customer service at (855) 300 2636 as soon as possible within 24 hours, but in no event later than 15 days of receipt.

Replacement: Solely in the event that you elect the Prepaid Shipping option, any shortage noted on the carrier’s delivery receipt will be replaced at no additional charge, including freight costs for return or replacement, provided the notification is received within 15 days.  You must provide Schaefer with a copy of the delivery receipt noting the damage or shortfall, along with a letter stating whether you would like replacement or credit. Again, if the delivery receipt is not properly notated, there is no recourse with the carrier and thus no reshipment, nor reimbursement. 

All damaged products plus packing materials must be kept in the general location of delivery until a damage inspection has been made by the delivering carrier.  Do not dispose of any cartons or packaging until all discrepancies/variations have been addressed by the carrier or Schaefer, as applicable. If you are not the person receiving the product, you must give instructions to the person in charge of receiving the order to comply with these requirements. Failure to perform any of these conditions may cause additional charges for returns or replacements to be incurred.  

In the event that you elect any other shipping method other than prepaid shipping, unless otherwise specifically agreed with Schaefer, your only recourse shall be directly with your designated carrier, and Schaefer shall not be required to reship or reimburse you for any damaged or missing products.

Concealed Damage: In the event concealed damage is found, it must be reported to Schaefer as soon as possible within 24 hours of your receipt in order for Schaefer to be able to meet the deadline imposed by the carriers. The responsibility to inspect your order and notify Schaefer is upon you, the Buyer, and failure to do so will result in Schaefer being unable to in turn file a claim with the carrier and comply with trucking rules and regulations. Schaefer will investigate any concealed damage claim as promptly as possible. 

Any damage, including concealed damage, which is not notated upon the delivery receipt, may be subject to additional charges for replacement. 

Please remember that the procedures described in the “Damages & Freight Claims”, “Replacement” and “Concealed Damages” sections must be followed in the event you elect prepaid shipping in order for you to be entitled to reshipment or reimbursement, as applicable, from Schaefer. While they may be helpful procedures for you to follow in the event you elect another shipping method, you should consult with your designated carrier to determine the procedures you should follow to ensure timely and safe receipt of your products and prompt resolution of any claims in the event of lost or damaged products.

  • All credits are for price paid at time of order including discounts. 
  • Keep all packing material and literature in the event a return is necessary 
  • Credit will not be given on special orders for any reason. However, exchanges may be allowed if requested within 30 days of the invoice date. 
  • Return the product within 5 business days after receiving the return authorization number described below to receive credit. 
  • Obtaining a return authorization number does not guarantee credit. Review the return authorization process below to make sure your return falls under these guidelines. 

Order Cancellation - Written notification must be received by Schaefer in order to process an order cancellation. The cancellation notification may be sent by email to [email protected], by fax to (855) 300 2576, or by mail (overnight or express) to:

Schaefer will process the order cancellation as soon as it is received.  If the order has shipped, you will be responsible for applicable freight charges incurred by Schaefer, including return shipment charges.  A re-stocking fee may also apply, not to exceed 25% of the total purchase price. If the order has not yet shipped upon receipt of the order cancellation, you may be responsible for re-stocking fees if the order was already prepared for shipment.  Schaefer works hard with its suppliers to minimize these costs to our customers when orders are cancelled.

Keep in mind that cancellation by any form of mail may not arrive in time to avoid the above-referenced charges, and it is suggested that email or facsimile with confirmation be utilized.   

Return Authorization -  Schaefer has a 30-day return policy subject to certain limitations.  To process a return, you must obtain a return authorization number by calling Customer Service at (855) 300 2636, or by sending an email to [email protected].  Return authorization is subject to Schaefer’s shipping and return policies. Shipping costs may be applicable. Items returned without a return authorization number will be refused.  Custom, special or clearance products cannot be returned.  Schaefer reserves the right to refuse any return for any reason or for no reason at all. 

Unopened, unused products returned for credit - Upon receipt of any unopened and unused returns, Schaefer will, in its reasonable discretion, issue a refund or a credit to Buyer in the amount of the product purchase price (less a 25% restocking fee, as determined in Schaefer’s sole discretion) within 30 days of Schaefer’s receipt and acceptance of such return. To return items, you must obtain a return authorization number and correct return address. Items returned must be shipped prepaid; collect shipments will be refused. If an item is not complete and resalable, credit will not be issued and a handling fee may be charged. Some manufacturers will not accept returns for any reason at all.  

Unopened, unused products returned for replacement with another item - Replacements will be treated as a new order. Follow above instructions for returning unopened, unused products. Your new order will be processed, credit card or customer account billed and product shipped promptly. Credit for the returned item will be issued upon receipt and inspection.  

Defective/incorrect product returned for replacement - We will replace most defective/incorrect items within 30 days of delivery date. Returns of defective/incorrect product will be arranged by Schaefer and must be accompanied by original order number. We will ship a replacement promptly. If Schaefer determines that the item returned is not defective / incorrect, you will be subject to ALL additional charges, including return shipping and call tag fees if applicable.  

Defective product returned for credit - Schaefer will issue a credit for most defective items within 30 days of Schaefer’s receipt of the returned item. Returns for replacement must include all product and literature in original packaging and must be accompanied by original order number. Schaefer will, in its reasonable discretion, issue a credit upon receipt and inspection of the product. If Schaefer determines that the item is not defective, you will be subject to ALL return shipping charges, including call tag fees if applicable and a 25% restocking fee.  

Non defective items that have been used may not be returned for credit or replacement - Non defective items that have been opened or have a broken seal may be returned, however, they may be subject to a 25% restocking fee and/or additional fees. We are not liable if you order the wrong product and are not obligated to accept any such products for return and credit. We do our best to provide complete, accurate descriptions about all items we sell through the Site. To ensure that you are ordering the correct item, or if you have any questions regarding the Site or any Site Materials, call our customer service department during normal business hours. Since product specifications change often, any uncertainties should be addressed before a purchase is made. Manufacturers will not allow opened, non-defective items to be returned for credit or exchange. 

Refused shipments -  If delivery of a shipment is refused, you will be responsible for payment of all applicable freight charges, including return shipment charges.  You may also be charged a re-stocking fee, not to exceed 25% of the total purchase price.

Submissions

You may submit or transmit content to, through, or in connection with the Site, such as remarks, suggestions, ideas, product ratings or reviews (“Submissions”).  Submissions may be viewable by other users of the Site.  You should only provide content that you are comfortable sharing with others.  

Any Submission communicated to Schaefer through this Site will forever be Schaefer’s property. Schaefer will not be required to treat any Submission as confidential, will not be liable for any ideas for its business (including without limitation, product or advertising ideas) and will not incur any liability as a result of any similarities that may appear in future Schaefer operations or products, including in connection with the Site.  Without limitation, Schaefer will have the exclusive ownership of all present and future existing rights to Submissions of every kind and nature everywhere. Schaefer will be entitled to use Submissions for any commercial or other purposes whatsoever without compensation to you or other persons sending a Submission. By accessing this Site you acknowledge that you are responsible for whatever material you submit, and you, not Schaefer have full responsibility for the message, including its legality, reliability, appropriateness, originality and copyright.

In connection with your access and use of the Site, you may not (nor may you assist, encourage, or enable others to) upload, post, transmit, distribute or otherwise make available:

  • any content that is unlawful, harmful, abusive, vulgar, obscene, hateful, fraudulent, threatening, harassing, defamatory, libelous, invasive of another’s privacy or which discloses private or personal matters concerning any person, or is racially, ethnically, or otherwise objectionable;
  • any material that you don’t have the right to transmit under law or under contractual or fiduciary relationships (such as inside information, proprietary, and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
  • any content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party;
  • sexually explicit material or other material that is hateful or incites violence;
  • any unsolicited or unauthorized advertising, promotional materials, or other forms of solicitation including chain letters, junk mail, spam, and pyramid schemes;
  • any material that contains software viruses, malicious code, corrupted files, “Trojan Horses,” or any other contaminating or destructive features that may damage, interrupt, or limit the functionality of any computer software, hardware, telecommunications equipment, the Site, or Schaefer’s ability to offer its products or services; or
  • any content that misrepresents its source for the benefit of another, for example, by writing a fake or defamatory review, trading reviews with other businesses, or compensating someone or being compensated to write or remove a review.

Copyrights, Trademarks and Service Marks

The Site and all Site Materials including, without limitation, images, text, graphics, illustrations, logos, trademarks, service marks, copyrights, photographs, audio, videos and music are or may be protected under United States and worldwide copyright or other intellectual property law, and may be owned or licensed, in whole or in part, by us or otherwise used with permission of their respective owners. All of the Site Materials are the property of their respective owners and licensors, including Schaefer, and you shall not acquire any rights in or to the same by virtue of your use of the Site or any Site Materials.  No Site Materials, including any trademarks, service marks, or copyrights in any such Site Materials, may be manipulated, edited, reproduced, performed, republished, uploaded to or downloaded from, posted, transmitted, sold, transferred or otherwise distributed or exploited in any manner whatsoever from this Site or any other website or service owned or operated by us without our prior written consent, which may be withheld in our sole discretion. Any manipulation of the Site or Site Materials any portion thereof, or use of any of the foregoing for any other purpose, other than as expressly permitted herein, constitutes an infringement of our and/or our licensees’ copyrights, trademark rights and/or property and proprietary rights in and to the Site and/or Site Materials, and is expressly prohibited. Any use or reproduction of any portion of this Site or any Site Materials on any other website or other networked computer environment is prohibited without our prior written consent, which may be withheld in our sole discretion. 

Site User Indemnity

You agree to defend, indemnify and hold harmless, Schaefer, our affiliates, agents, employees, directors, officers, stockholders, licensors, subcontractors and suppliers (the “Schaefer Indemnitees”), from any claims, demands, actions, losses, damages, liabilities, judgments, settlements, and other costs and expenses (including attorneys’ fees and disbursements) arising out of or relating to: (i) your breach or failure of performance of your obligations under this Agreement, (ii) any products or services purchased or obtained by you in connection with the Site, (iii) the infringement by you, or any third party using your account, of any intellectual property or other right of any person or entity, or (iv) your access to and use of the Site or participation in any activities arising from this Site. Such indemnity shall include any costs and expenses incurred by us in any actions taken to enforce this indemnity.  Schaefer reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims.  You agree not to settle any matter without the prior written consent of Schaefer.  Schaefer will use reasonable efforts to notify you of any such claim, action or proceeding upon becoming aware of it.

Site Disclaimer of Warranty; Limitation of Liability

This disclaimer of liability applies to any damages or injury caused by any act or omission of Schaefer or any of the Schaefer Indemnitees, any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of data, whether for breach of contract, tortious behavior, negligence, or under any other cause of action.  You specifically acknowledge that (i) neither Schaefer nor any of the Schaefer Indemnitees, is liable for the defamatory, offensive or illegal conduct of other users of the Site or Site Materials; (ii) the risk of injury from the foregoing rests entirely with you; and (iii) your sole and exclusive right and remedy in case of dissatisfaction with the Site, or any other grievance shall be your termination and discontinuation of access to, or use of the Site.  You agree that use of our Site and the Site Materials is entirely at your own risk.  Our Site and the Site Materials are provided “as is,” and “as available” for your personal and commercial use only, as described herein, without representation or warranty of any kind, either express or implied, including without limitation any warranties concerning the availability and accuracy of content or information.  In addition Schaefer makes no warranty that:

  • The Site will meet your requirements;

This Agreement is the entire agreement between the parties relating to the use of the Site.  Schaefer can revise these Terms & Conditions at any time and in its sole discretion by updating this posting, and such revised Terms & Conditions shall apply to your continued use of the Site and the Site Materials thereafter.  Schaefer products and services are available in many parts of the United States.  However, the Site may describe products and services that are not available nationally.  The Site may be linked to other websites, which are not maintained by Schaefer, Schaefer is not responsible for the content of those linked sites.

This Agreement is personal to you, and you may not transfer, assign or delegate your right and/or duties under this Agreement to any third party.  Any attempted transfer, assignment or delegation in violation hereof is void.  If any provision of this Agreement is deemed invalid or unenforceable for any reason, such provision shall be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of this Agreement shall continue in full force and effect.  Any rights not expressly granted herein are reserved.
